Assin Offer Agreement

This offer is a public offer (hereinafter referred to as the “Agreement”) on the web site of assin.co (hereinafter referred to as the “Contractor”) and is addressed to any person interested in receiving the services provided by the Contractor.
The unconditional acceptance (acceptance) of the terms of this Agreement is registration on the web site assin.co. Acceptance of this Agreement on terms other than those specified in this Agreement, or acceptance under the condition is not allowed.
A person who has passed the registration procedure on the web site assin.co is referred to as the “User”, and the Contractor and the User are collectively referred to as the “Parties”.

1. Terms and concepts
1.1. The following concepts and terms referred to in this clause are used in the text of this Agreement in the following sense:
1.1.1. Web site – a collection of electronic documents (files) of an individual or organization in a computer network, united under one address (domain name or IP address);
1.1.2. Personal Account – the personal part of the Service, inaccessible for public viewing, which is accessed by the User by entering personal identification data;
1.1.3. Service – a set of software codes for the web site assin.co, scripts installed on users’ web sites, as well as other software tools designed to automate the promotion on Instagram;

2. The subject of the contract
2.1. The Contractor provides the User with the services of access to the Service, and the User accepts and pays for the services provided under the terms of this Agreement.
2.2. The specific list of services provided by the Contractor using the Service is determined by the tariff plan chosen by the User.

3. The procedure for the provision and acceptance of services
3.1. The contractor renders services in the “AS IS” format. Technical interruptions and temporary interruptions in the provision of services (including those related to the conduct of technological and preventive work on the Service) are not grounds for filing any moral, material, property or other claims to the Contractor.

4. Cost of services and settlement procedure
4.1. The cost of services for using the Service is determined by the tariff plan chosen by the User and published on the assin.co website.
4.2. The Contractor has the right to change the price of services at any time by publishing new prices on the assin.co website.
4.3. In case of termination of the Agreement, cash balances on the User’s personal account are not returned.
4.4 The Contractor has the right not to provide a report on the implementation of a number of works / functions.
Example: “Account Analysis”, “Mass messaging in Direct”, “Mass (Mentions) on Instagram”, due to a number of technical features of the platform. Such a report may or may not be provided in part.

Mass mailing to Direct: the task will be completed within 48-120 hours (depends on the number of queue orders in the system).
If the newsletter was made on the basis of the base you collected, which you provided, or ordered by subscribers of another account, then it is impossible to get a visual report that it was made, due to the features of the Instagram algorithm, which the contractor cannot influence.

5. User Rights
5.1. A person who has passed the registration procedure on the Service confirms his capacity under the laws of the country of his residence. All consequences of non-fulfillment of this condition are imposed on the User himself.
5.2. The user undertakes not to take action aimed at disrupting the operation of the Service.
5.3. The User undertakes not to use the Service for the sale (distribution) of goods (performance of works, provision of services, distribution of information and other actions) if such actions contradict the legislation of Ukraine and (or) the country of the User’s residence.
5.4. The user acknowledges that the Contractor is not liable for any damages in any way related to the use or inability to use the Service.

6. Rights of the Contractor
6.1. The Contractor has the right to provide services to users under the terms of this agreement.
6.2. The Contractor has the right to refuse any User in the provision of the Service and block access to the User Account in the following cases:
6.2.1. If the actions of the User violate this agreement;
6.2.2. If there are technical problems with the Contractor;
6.2.3. At its sole discretion without explanation;

7. Term of the agreement, procedure for amendment and termination
7.1. The contract enters into force from the date of its acceptance by the User and is valid until the Parties fulfill their obligations.
7.2. The Contractor is entitled at any time at its discretion and without prior agreement with the User to make changes to this Agreement. Changes and additions come into force from the moment of their publication on the web site assin.co.
7.3. The use of the services provided for in this Agreement, after any changes to this Agreement, means unconditional acceptance of such changes and (or) additions.

8. Circumstances of force majeure
8.1. The parties are exempt from liability for partial or complete non-fulfillment of obligations under this agreement, if such were the result of the force majeure circumstances that arose after the conclusion of the Agreement.
8.2. Under the circumstances of force majeure refers to military action of any nature, blockade, strike; fires, floods, earthquakes, tsunamis and other natural disasters; actions of public authorities and other similar factors that can affect the performance by the parties of their obligations under this Agreement.

9. Other conditions
9.1. Relationships of the parties that are not regulated by this Agreement are governed by the current legislation of Ukraine.
9.2. In the event of a dispute under the terms of this Agreement, the Parties resolve them by negotiation.
9.3. If it is impossible to resolve disputes through negotiations, they are subject to resolution in court in accordance with the legislation of Ukraine.
9.4. In the event that one or more of the provisions of this Agreement are invalid for any reason, have no legal force, such invalidity does not affect the validity of any other provision of the Agreement, and the Agreement should be interpreted as if it did not contain such invalid provisions.

10. Technical and informational support
10.1 The Contractor provides free technical and informational support for all Users. The user can send his request through the Personal Cabinet on the web site assin.co, in the “Support” section
